Terms & Conditions
1. Applicability
These Terms and Conditions of Sale ("Terms") apply to purchase of products and services listed down ("Products") by the sellers ("Talasi") and buyers/the Users ("Buyers") through the talasi.com website and are only subject to the following Terms.
2. User Account
- PT Talasi Tru Origin is a company that operates the web business at talasi.com.
- Buyers are Users ("Users") who register on the website and are at least 18 years of age or are under the supervision of a parent or legal guardian.
- User account activation is necessary for buyers to use the website's features and services. Users are responsible for maintaining the confidentiality of their account information and for any activity that occurs under their account.
- The User hereby declares that the User is a person who is legally capable of binding themselves in an agreement that is lawful.
- The User is personally responsible for maintaining the confidentiality and security of the account and password for all activities that occur under the User's account.
- The User agrees to immediately notify Talasi of any unauthorized use or breach of security of the User's account.
- The User understands that Talasi is not responsible for any loss or damage arising from the User's failure to comply with this section or from any third-party activities, including but not limited to hacking, phishing, or other security breaches.
3. Order Acknowledge
- Buyers agree to enter into an agreement by placing a purchase order through the website. A purchase order must be placed correctly and completely in accordance with the terms provided on the website.
- Before purchasing a product, the Buyer agrees and is responsible for reading, understanding, and agreeing to the information / description of the entire product, including but not limited to the type of product, weight, quality, function, and other related information.
- Order Confirmation received before 2:00 PM will be processed on the same day. Orders received after 2:00 PM will be processed on the next working day.
- Orders placed on Saturday, Sunday, and Public Holidays will be processed on the next working day.
- If there is an error in the information / price of the product caused by a typing error or incorrect data and information, then Talasi has the right to reject or cancel orders that use the wrong information, including those that have been paid.
- Product stock availability is the responsibility of Talasi which reflects the product amount and stock availability can change at any time, so that if the product stock is empty, Talasi will reject the order, and the payment made for the product is returned to the buyer.
4. Price
Prices for products covered by this Agreement may be adjusted by Talasi at its discretion at any time before the Order Confirmation has been accepted by Talasi. Any tax / levy increase or the increase of raw materials, materials and other after issuance of the applicable Order Confirmation / Prices in the Order Confirmation from the seller are subject to change upon notice to the Buyer at any time before the Order Confirmation has been delivered. All stated prices are inclusive of all other taxes, fees, duties, and levies, however designated or imposed, including but not limited to value added tax and withholding taxes that the Buyer is legally obligated to pay under this Agreement and shall be solely for the account of the Buyer.
5. Payment
- Talasi shall be entitled to bill the Buyer for the price of the Products before the shipment of the Goods.
- Buyer must pay in full to Talasi within the period determined by Talasi and in accordance with the procedures indicated in the Order Confirmation and scans by Talasi.
- Payment is only made via registered payment systems. The Buyer must ensure that the amount paid is in accordance with the Order Confirmation, before making a payment, to prevent payment failure.
- If there is an overpayment, then requests for a refund can only be done within 2x24 hours after the product is received, by attaching a photo of the product and the address of the recipient of the refund, and Talasi has the right to refuse or approve the request or provide other compensation alternatives.
- Payments made after the service will be automatically rejected by the website system, and the Buyer must carry out the resolution process for the issue of a new Order Recognition.
6. Shipment
- Talasi will deliver the Goods in accordance with the delivery terms and at the place of delivery stated in the Order Confirmation.
- Delivery of products using the delivery service provider company chosen by Talasi or the Buyer in the system.
- Order Confirmation that has been verified and processed before 2:00 PM will be sent on the same day, after 2:00 PM will be carried out on the next working day. Orders on holidays will be dispatched on the next working day.
- Any prediction regarding the delivery of products are at the sole authority of the delivery service provider.
- The buyer understands and agrees that any problems that occur during the process of shipment / delivery of products by the delivery service provider are the responsibility of the delivery service provider.
7. Refund
Buyers can apply for a refund with the following conditions:
- Double payment for the same purchase order of the same Product.
- The product is not received by the Buyer due to the fault of the delivery service provider.
- The product received has expired.
- Products that have been received in a damaged condition (refer to the following conditions: packaging is damaged or type matches).
8. Changes
Talasi reserves the right to alter, modify, or change the design of products at its sole discretion for any previous orders made by Buyers.
9. Intellectual Property
All intellectual property rights and any other rights in connection with the Products are the exclusive property of Talasi. The sale of Products shall not, by implication or otherwise, convey any license under any intellectual property right relating to the compositions and/or applications of the Products. Buyers shall fully indemnify Talasi of any intellectual property infringement by reason of the use of the Products, whether singly or in combination with other materials in any processing operation.
10. Forced Majeure
Talasi will not be liable for any failure or delay caused by events of Force Majeure beyond the reasonable control of Talasi, including but not limited to fires, floods, earthquakes, actions of any governmental authority, war, insurrection, riots, lack of or delays of labor, energy, raw materials, production facilities, or transportation and any delays or failures caused by Talasi's suppliers. Talasi will not be obligated to search for alternative settlement, as Talasi at its judgement, shall find it in Talasi's best interests.
11. Applicable Law and Jurisdiction
- All matters arising out of or relating to this Agreement are governed by and construed in accordance with Indonesian Law.
- The parties shall first settle all disputes related to or arising from the interpretation or performance of this Agreement through deliberation for consensus.
12. Choice of Language
This Term is executed in both Indonesian and English versions, versions are intended to be identical in meaning and effect. Should any inconsistency arise between the two versions be identified, the Indonesian version shall prevail.
13. Renewal
Terms & Conditions may be changed and updated from time to time at our prior notice, however we recommend that you scan carefully and check this Terms & Conditions page from time to time for any changes. By continuing to access and use the website service, the User is deemed to have agreed the changes in these Terms & Conditions.
